Permission is granted to electronically copy and print hard copy portions of this site for the sole purpose of placing an order with BodyBio, Inc. or purchasing BodyBio, Inc. products. You may display and, subject to any expressly stated restrictions or limitations relating to specific material, download or print portions of the material from the different areas of the site solely for your own non-commercial use, or to place an order with BodyBio, Inc. or to purchase BodyBio, Inc. products. BodyBio, Inc. does not represent or warrant that the functions contained in the site will be uninterrupted or error-free, that the defects will be corrected, or that this site or the server that makes the site available are free of viruses or other harmful components. BodyBio, Inc. does not make any warrantees or representations regarding the use of the materials in this site in terms of their correctness, accuracy, adequacy, usefulness, timeliness, reliability or otherwise. Some states do not permit limitations or exclusions on warranties, so the above limitations may not apply to you.

Limitation of Liability
BodyBio, Inc. shall not be liable for any special or consequential damages that result from the use of, or the inability to use, the materials on this site or the performance of the products, even if BodyBio, Inc. has been advised of the possibility of such damages. Applicable law may not allow the limitation of exclusion of liability or incidental or consequential damages, so the above limitation or exclusion may not apply to you.

Internet Resale Prohibited

You shall not advertise, list, offer for sale, sell or distribute any BodyBio supplements via the Internet, unless you are an approved BodyBio Reseller (see application on hcp.bodybio.com) selling on your wholly-owned website. You cannot sell BodyBio products via any third-party websites, mobile applications, or online marketplaces including Amazon.com and Ebay.com, and shall not advertise our products on the Internet. You cannot advertise using banner or pop-up advertisements, or using sponsored searches (e.g., Google AdWords, Yahoo! Search Marketing, or Bing Search Marketing).

Typographical Errors
In the event that a BodyBio, Inc. product is mistakenly listed at an incorrect price, BodyBio, Inc. reserves the right to refuse or cancel any orders placed for product listed at the incorrect price. BodyBio, Inc. reserves the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is cancelled, BodyBio, Inc. shall issue a credit to your credit card account in the amount of the incorrect price.

Term; Termination
These terms and conditions are applicable to you upon your accessing the site and/or completing the registration or shopping process. These terms and conditions, or any part of them, may be terminated by BodyBio, Inc. without notice at any time, for any reason. The provisions relating to Copyrights, Trademark, Disclaimer, Limitation of Liability, Indemnification and Miscellaneous, shall survive any termination.

Notice
BodyBio, Inc. may deliver notice to you by means of e-mail, a general notice on the site, or by other reliable method to the address you have provided to BodyBio, Inc.

Sales and Special Offers

All sales and special offers are only available for the stated length of the sale/offer. Sales discounts or special offers cannot be retroactively applied. Once a sale or special offer has concluded, the discount will no longer be available.

Sales and special offers cannot be combined with any other offers and cannot be combined with subscription orders.

Sales and/or special offers for retail clients are valid only for purchases made on www.bodybio.com. Discounts cannot be applied to purchases made on our HCP site. 

Limitations will apply to all sales/special offers. If a sale offers a discount off of a specific product, the discount will only apply to the specified product. It will not be applied to any other products. 

Miscellaneous

Your use of this site shall be governed in all respects by the laws of the state of New Jersey, U.S.A., without regard to choice of law provisions, and not by the 1980 U.N. Convention on contracts for the international sale of goods. You agree that jurisdiction over and venue in any legal proceeding directly or indirectly arising out of or relating to this site (including but not limited to the purchase of BodyBio, Inc. products) shall be in the state or federal courts located in Cumberland County, NJ. Any cause of action or claim you may have with respect to the site (including but not limited to the purchase of BodyBio, Inc. products) must be commenced within one (1) year after the claim or cause of action arises. BodyBio, Inc.'s failure to insist upon or enforce strict performance of any provision of these terms and conditions shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any of these terms and conditions. BodyBio, Inc. may assign its rights and duties under this Agreement to any party at any time without notice to you. Payment disputes are handled in the country of operation

Use of Site
Harassment in any manner or form on the site, including via e-mail, chat, or by use of obscene or abusive language, is strictly forbidden. Impersonation of others, including a BodyBio, Inc. or other licensed employee, host, or representative, as well as other members or visitors on the site is prohibited. You may not upload to, distribute, or otherwise publish through the site any content which is libelous, defamatory, obscene, threatening, invasive of privacy or publicity rights, abusive, illegal, or otherwise objectionable which may constitute or encourage a criminal offense, violate the rights of any party or which may otherwise give rise to liability or violate any law. You may not upload commercial content on the site or use the site to solicit others to join or become members of any other commercial online service or other organization.

Participation Disclaimer
BodyBio, Inc. does not and cannot review all communications and materials posted to or created by users accessing the site, and is not in any manner responsible for the content of these communications and materials. You acknowledge that by providing you with the ability to view and distribute user-generated content on the site, BodyBio, Inc. is merely acting as a passive conduit for such distribution and is not undertaking any obligation or liability relating to any contents or activities on the site. However, BodyBio, Inc. reserves the right to block or remove communications or materials that it determines to be (a) abusive, defamatory, or obscene, (b) fraudulent, deceptive, or misleading, (c) in violation of a copyright, trademark or; other intellectual property right of another or (d) offensive or otherwise unacceptable to BodyBio, Inc. in its sole discretion.

Indemnification
You agree to indemnify, defend, and hold harmless BodyBio, Inc., its officers, directors, employees, agents, licensors and suppliers (collectively the "Service Providers") from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any violation of these terms and conditions or any activity related to your account (including negligent or wrongful conduct) by you or any other person accessing the site using your Internet account.

Third-Party Links
In an attempt to provide increased value to our visitors, BodyBio, Inc. may link to sites operated by third parties. However, even if the third party is affiliated with BodyBio, Inc., BodyBio, Inc. has no control over these linked sites, all of which have separate privacy and data collection practices, independent of BodyBio, Inc.. These linked sites are only for your convenience and therefore you access them at your own risk. Nonetheless, BodyBio, Inc. seeks to protect the integrity of its website and the links placed upon it and therefore requests any feedback on not only its own site, but for sites it links to as well (including if a specific link does not work).

Feedback

You agree that submission of any ideas, suggestions, documents, and/or proposals to us through its suggestion, feedback, wiki, forum or similar pages ( "Feedback" ) is at your own risk and that we have no obligations (including without limitation obligations of confidentiality) with respect to such Feedback. You represent and warrant that you have all rights necessary to submit the Feedback. You hereby grant to us a fully paid, royalty-free, perpetual, irrevocable, worldwide, non-exclusive, and fully sublicensable right and license to use, reproduce, perform, display, distribute, adapt, modify, re-format, create derivative works of, and otherwise commercially or non-commercially exploit in any manner, any and all Feedback, and to sublicense the foregoing rights, in connection with the operation and maintenance of the Site and Services.

Discount Codes 
Discount codes are for retail purchases only, not healthcare professionals. Codes cannot be combined with any other retail offering, including subscription.

Product Reviews
The Services allow registered users to post reviews, ratings and comments about products purchased through the Site (collectively, "Reviews"), and you are solely responsible for any content, opinion, statement, recommendation or advance contained therein. Reviews posted on our Services are not endorsed by BodyBio and does not represent the views of BodyBio. You acknowledge that any opinions, statement, recommendation, ratings, offers, advice or other information presented or disseminated in any Review are those of their respective authors who are solely responsible and liable for their content. That means that you, and not BodyBio, are solely responsible and liable for any Reviews that you post, including the content contained therein. By posting a Review, you grant BodyBio a nonexclusive, royalty-free, perpetual, transferable, irrevocable and fully sublicensable right to (a) host, use, reproduce, modify, run, adapt, translate, distribute, publish, create derivative works from and publicly display and perform such Content of yours throughout the world in any media, now known or hereafter devised; (b) make the Review available to the rest of the world and to let others do the same; (c) to provide, promote, and improve the Services and to make your Review shared on the Services available to other companies, organizations or individuals for the syndication, broadcast, distribution, promotion or publication of such Content of yours on other media and services, subject to our Privacy Policy and this Agreement; and (d) use the name and/or trademark that you submit in connection with such Review of yours. You acknowledge that BodyBio may choose to provide attribution of your Review at our discretion. You further grant BodyBio the right to pursue at law any person or entity that violates your or BodyBio's rights in your Review by a breach of this Agreement. You acknowledge and agree that your Review is non-confidential and non-proprietary. You affirm, represent and warrant that you own or have the necessary licenses, rights (including copyright and other proprietary rights), consents and permissions to publish and otherwise use (and for BodyBio to publish and otherwise use) your Review as authorized herein.

BodyBio reserves the right to refuse to post or remove any material submitted or posted in any Review. Notwithstanding the foregoing, you acknowledge that BodyBio is under no obligation to edit or modify any information available in any Reviews or decide any dispute or disagreement between the posters and shall have no liability to you for any content posted in a Review. BodyBio does not assume liability for Reviews or for any claims for economic loss resulting from such ratings and reviews. Because we expect users to maintain a high level of integrity with respect to ratings and reviews posted through the Services, you agree: (i) to base any rating or review you post only on your first-hand experience with the product you are reviewing; (ii) you will not submit a rating or review in exchange for payment or other benefits from any individual or entity; and (iii) your review will comply with the terms set forth herein. If BodyBio determines, in our sole discretion, that any rating or review could diminish the integrity of the ratings and reviews, we may exclude such Review without notice. Further, BodyBio may remove any Reviews in the event it determines, in its sole discretion, that a Review:

  1. Is false, unlawful, misleading, libelous, defamatory, obscene, pornographic, indecent, lewd, suggestive, harassing (or advocates harassment of another person), threatening, invasive of privacy or publicity rights, abusive, inflammatory, fraudulent or otherwise objectionable;
  2. Is patently offensive to the online community, such as that which promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;
  3. Would constitute, encourage, promote or provide instructions for conduct of an illegal activity, a criminal offense, give rise to civil liability, violate the rights of any party in any country of the world, or that would otherwise create liability or violate any local, national or international law, including, without limitation, the regulations of the U.S. Securities and Exchange Commission (SEC) or any rules of any securities exchange, including but not limited to, the New York Stock Exchange (NYSE) and/or the NASDAQ;
  4. Provides instructional information about illegal activities such as making or buying illegal weapons, violating someone's privacy or providing or creating computer viruses;
  5. May infringe any patent, trademark, trade secret, copyright or other intellectual or proprietary right of any party;
  6. Constitutes mass mailings or "spamming", "junk mail", "chain letters"or "pyramid schemes";
  7. Impersonates any person or entity or otherwise misrepresents your affiliation with a person or entity, including BodyBio;
  8. Is private information of any third party, including, without limitation, addresses, phone numbers, email addresses, social security numbers and credit card numbers;
  9. Include or are intended to facilitate viruses, corrupted data or other harmful, disruptive or destructive files;
  10. Is unrelated to the topic of the Reviews or products in which such Review is posted; or
  11. (i) is otherwise objectionable, (ii) restricts or inhibits any other person from using or enjoying the Services, or (iii) may expose BodyBio or its users to any harm or liability of any type.

Subscription process, renewal, and cancellation. 

If you purchase a subscription to BodyBio supplements through our Site, every thirty (30) days, we will send you a shipment of that supplement. Our normal subscription term is thirty (30) days to provide for monthly shipments but you may edit that term if you so choose in Account Settings. We have a maximum allotment of 2 bottles per subscription. If you are interested in more, please contact help@bodybio.com. 

Your subscription will continue, and you will be charged whenever product is shipped, until you choose to cancel. However, please note that all fees for the Services are non-refundable, so if you cancel your subscription, we will send you any outstanding supply of supplements but will not refund you any amounts for shipments not received as of the date of cancellation. There is no subscription fee associated with your subscription. You will only be charged for the cost of the product minus 10% and the cost of any state or local tax. After your initial subscription period, and again after any subsequent subscription period, your subscription will automatically commence on the first day following the end of such period (each a "Renewal Commencement Date") and continue at our then-current price for such subscription. You agree that your account will be subject to this automatic renewal feature unless you cancel your subscription at any time prior to the Renewal Commencement Date by logging into and going to the "Change/Cancel Membership"page of your "Account Settings"page.

If you do not wish your account to renew automatically, or if you want to cancel your subscription, please log in and go to the "Change/Cancel Membership"page on your "Account Settings"page. By subscribing, you authorize us to charge your payment provider now, and again at the beginning of any subsequent subscription period. We will send you an email reminder prior to charging your payment provider each subscription period. If you choose to cancel your subscription at any time, your subscription will terminate automatically and we will not charge your payment provider for the subsequent subscription period. You agree that the we may either terminate or suspend your subscription for any reason at any time in our sole discretion.

Subscriptions for BodyBio Foundational will receive a free month on the third months of their subscription.
